1. Definitions

“Affiliates”
Any entity that directly or indirectly controls, is controlled by, or is under common control with a party.

“Confidential Information”
Includes Customer Data, the terms of this agreement, and any non-public business, technical, or financial information disclosed by either party that a reasonable person would consider confidential. Excludes information that is public, independently developed, or rightfully obtained without restriction.

“Customer Data”
All data submitted to or stored within the Service by Customer or its Users.

“Users”
Individuals authorized by Customer to access and use the Service.

“Service”
The Superconductor enterprise software platform, including all modules, features, and related functionality provided under an order or subscription.

“Third-Party Applications”
Any third-party software, integrations, or services that connect to or interoperate with the Service.

2. Use of the Service
2.1 Customer Responsibilities

Customer agrees to:

Provide accurate and up-to-date account information
Maintain security of login credentials
Be responsible for all activity under its account
2.2 User Access
Each User must have unique login credentials
Credentials may not be shared
Customer is responsible for all actions taken by Users
2.3 Acceptable Use

Customer shall not:

Reverse engineer, copy, or modify the Service
Use the Service to build a competing product
Attempt unauthorized access or system probing
Use the Service for unlawful, harmful, or abusive purposes
Transmit malicious code or harmful data

Customer must comply with all applicable laws and regulations when using the Service.

3. Third-Party Applications

Use of third-party integrations is at Customer’s discretion and risk.
Superconductor:

Does not guarantee third-party functionality
Is not responsible for data shared with third parties
Is not liable for third-party services or outcomes
4. Data & Security
4.1 Data Transmission

Customer acknowledges that:

Data is transmitted over the internet
No system is completely secure
Superconductor is not responsible for transmission risks outside its infrastructure
4.2 Security

Superconductor maintains commercially reasonable safeguards to protect Customer Data, including administrative, technical, and physical protections.

5. Confidentiality

Each party agrees to:

Protect the other party’s Confidential Information
Use it only for purposes of the Service
Disclose only when required by law or with consent
6. Ownership
Customer retains all rights to Customer Data
Superconductor retains all rights to the Service, including all intellectual property

Customer grants Superconductor a limited right to use Customer Data solely to provide and improve the Service.

7. Service Levels & Support
The Service will be provided using commercially reasonable care
Documentation and support resources will be made available
Paid support and professional services may be offered separately
8. Warranties & Disclaimers

Superconductor warrants that:

The Service will perform materially as described
It will be delivered with reasonable care and skill

However, the Service is provided “as is”, and Superconductor does not guarantee:

Error-free or uninterrupted operation
That the Service will meet all Customer requirements
9. Limitation of Liability

To the maximum extent permitted by law:

Neither party is liable for indirect, incidental, or consequential damages
Total liability is limited to fees paid in the prior 12 months

These limits reflect the allocation of risk between the parties.

10. Indemnification
10.1 By Superconductor

Superconductor will defend Customer against claims that the Service infringes third-party intellectual property rights.

10.2 By Customer

Customer will defend Superconductor against claims arising from:

Customer Data
Misuse of the Service
Violation of laws or third-party rights
11. Suspension & Termination

Superconductor may suspend access if:

Payments are overdue
The Service is used in a harmful or illegal way

Either party may terminate for material breach if not cured within 30 days.

Upon termination:

Access to the Service ends
Customer Data may be deleted after a reasonable period
12. Modifications

Superconductor may:

Update the Service over time
Modify these Terms with notice

Continued use of the Service constitutes acceptance of updated Terms.

13. Service Monitoring & Analytics

Superconductor may:

Monitor usage for security and performance
Use aggregated, anonymized data to improve the platform

Customer Data will not be disclosed in identifiable form.

14. General
These Terms govern the use of the Service
Any additional agreements or order forms may supplement these Terms
If any provision is invalid, the remainder remains enforceable
